These Terms and Conditions ("Terms") govern your use of Concrete Direct Merchant (the merchant mobile application and website at concretedirectmerchant.uk), together the "Merchant Platform".
By registering, logging in, or accepting and fulfilling customer requests through the Merchant Platform, you agree to these Terms. If you do not agree, do not use the Merchant Platform.
1. About the service
Concrete Direct Merchant is a B2B platform that connects registered concrete suppliers and logistics operators ("Merchants" or "Sellers") with customer requests for quotes and orders.
Cement Industries Ltd. provides the Merchant Platform as a technology and workflow service. We are not a party to the supply contract between you and the customer unless explicitly stated in a separate written agreement.
You remain solely responsible for your quotes, pricing, production capacity, legal compliance, delivery performance, and quality of goods and services you supply.
2. Merchant eligibility and onboarding
The Merchant Platform is for businesses operating lawfully in the United Kingdom that supply ready-mix concrete or related delivery services.
You must provide accurate company information, including registered business details, plant or depot information, contact persons, and delivery capabilities.
Your account may remain restricted until profile completion, administrative review, and activation. Until activation, job access, quoting, invoicing, and other features may be limited.
We may refuse, suspend, or terminate Merchant accounts for incomplete verification, repeated poor performance, non-payment of platform fees, or breach of these Terms.
3. Account, authentication, and security
You are responsible for safeguarding login credentials and for all actions taken under your Merchant account, including actions by your authorised staff.
You must notify us promptly at contact@cementindustries.co.uk if you suspect unauthorised access or credential compromise.
4. Delivery area and subscriptions
Your ability to receive and respond to customer requests may depend on your subscription plan (for example Free 50, Premium 100, Premium 200, or nationwide coverage), which defines your Delivery Area from your registered business address.
Paid subscription plans extend your Delivery Area beyond the free plan. This allows you to receive customer enquiries from a wider area and, where your quote is accepted by the customer, to fulfil concrete deliveries within that wider area, subject to your operational capacity and these Terms.
You may only accept jobs that fall within your active Delivery Area and operational capacity unless the platform allows exceptions or upgrades.
If you operate on a wider Delivery Area under a paid plan, you must have the operational capability to supply good-quality ready-mix concrete across that area. This includes maintaining an appropriate vehicle fleet and delivery resources so that concrete retains its required properties by the time of delivery and placement.
Subscription fees, billing cycles, and plan changes are shown in the app. By submitting a subscription order or upgrade request, you agree to pay applicable fees and accept related subscription documents or invoices.
You may move from a paid plan to the free plan at any time through the platform. A change from a paid package to the free package does not take effect immediately. You keep your current paid plan and Delivery Area until the end of the paid billing period already shown on your account. The free plan starts on the first day of the next billing period — that is, the day after your current paid period ends.
For example, if your paid plan is valid until 5 February 2026 and you select the free plan on 1 February 2026, you remain on the paid plan with its wider Delivery Area until 5 February 2026 inclusive, and the free plan begins on 6 February 2026.
If you select the free plan only after your current paid period has already ended — for example, your paid plan ended on 5 February 2026 and you submit the change on 6 February 2026 — and you did not switch to the free plan before that date, your paid subscription is treated as renewed for the next billing period under these Terms. You must pay the applicable subscription fee for that new period at the prices shown in the app. A change to the free plan requested at that stage takes effect only at the end of that new paid period. For a yearly plan renewed on 5 February 2026, the free plan would begin on 6 February 2027, unless a different effective date is shown on your account or subscription documents.
Before the end of each paid billing period, we will notify you that your paid subscription period is approaching its renewal date. If you take no action and do not switch to the free plan before the current paid period ends, your paid subscription will continue automatically for the next billing period on the same cycle as your current plan: monthly subscriptions renew for a further month; yearly subscriptions renew for a further year. Applicable fees will be charged or invoiced according to your selected billing cycle and the subscription documents issued through the platform.
Subscription features do not guarantee a minimum volume of customer requests.
5. Jobs, quotes, and order workflow
Customer requests appear as jobs in your dashboard. You may review job details including delivery location, specification, volume, schedule, and site access notes.
You may submit quotes, update quote status, and communicate with customers or administrators through in-app chat where available.
A supply contract with the customer is formed when your quote is accepted and any stated payment or preconditions are met. You must honour accepted quotes subject to force majeure and these Terms.
You must respond to requests within reasonable timeframes and keep job statuses accurate (for example quoted, accepted, in production, dispatched, delivered, or cancelled).
Cement Industries Ltd. operates the Merchant Platform as an intermediary technology service between Sellers and customers. We are not responsible for incorrect concrete parameters, mix design, quantity, or quality of concrete supplied to the customer. As the supplying Seller, you remain responsible to the customer for your quotes, specifications, production, delivery, and compliance with applicable law, without prejudice to your contractual and statutory obligations.
6. Pricing, proformas, and invoices
You set your own prices unless otherwise agreed with us in writing. All prices you submit must be accurate, inclusive of stated charges, and compliant with applicable law.
You may issue proformas and invoices through the platform. You are responsible for tax treatment, VAT where applicable, and the accuracy of invoice content.
You may upload invoice PDFs or related documents where the platform provides upload functionality.
Platform subscription or service fees are separate from amounts you charge customers and are payable according to your Merchant subscription terms.
7. Delivery and operational obligations
You are responsible for scheduling production, dispatch, and delivery in accordance with accepted orders.
You must provide realistic delivery windows and promptly notify customers or administrators of delays, access issues, or inability to fulfil.
You must comply with health and safety, vehicle regulations, driver hours, and site access requirements.
Additional charges (waiting time, returned load, pump time, etc.) must be communicated clearly and fairly, consistent with information provided at quote stage or as permitted by your terms with the customer.
8. Customer data and confidentiality
You may receive customer personal data (names, phones, addresses, site details) solely to quote, deliver, and administer orders.
You must keep such data confidential, use it only for order fulfilment, and comply with UK GDPR and data protection law. Do not use customer data for unrelated marketing without lawful basis and consent where required.
Our Privacy Policy at https://concretedirectmerchant.uk/privacy describes platform-wide processing. You act as an independent controller for data you process outside platform instructions.
9. Acceptable use
You must not:
- circumvent the platform to avoid fees or divert customers unfairly,
- submit false capacity or pricing information,
- discriminate unlawfully against customers,
- misuse chat, notifications, or customer contact details,
- attempt unauthorised access or disrupt platform operations.
10. Intellectual property
The Merchant Platform, branding, and software are owned by or licensed to Cement Industries Ltd. You receive a limited licence to use the platform for Merchant operations.
You retain ownership of your business content but grant us a licence to display your company profile, pricing inputs, and operational data as needed to operate the service.
11. Disclaimers and limitation of liability
The Merchant Platform is provided "as is" to the extent permitted by law. We do not guarantee uninterrupted access or a minimum flow of customer requests.
To the fullest extent permitted by law, Cement Industries Ltd. shall not be liable for indirect or consequential loss arising from use of the platform.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.
You indemnify us against claims arising from your supply activities, misquoting, delivery failures attributable to you, or breach of data protection law in your handling of customer data, except where caused by our negligence.
12. Suspension and termination
We may suspend or terminate your Merchant account for breach of these Terms, non-payment, fraud, safety concerns, or repeated customer complaints substantiated by evidence.
You may request account closure subject to settlement of outstanding platform fees and completion of open orders where reasonably practicable.
13. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted at https://concretedirectmerchant.uk/terms with a revised date. Continued use after changes constitutes acceptance where permitted by law.
14. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Courts of England and Wales shall have exclusive jurisdiction.
